Adhesi\u00f3n a los T\u00e9rminos y condiciones de los Productos del Programa de Afiliados de WINTOWN.<\/strong><\/p>

\u00a0<\/strong><\/p>

Este contrato (el \u201cCONTRATO<\/strong>\u201d) establece la Adhesi\u00f3n a los t\u00e9rminos y condiciones generales (los \u201cT\u00e9rminos y Condiciones<\/strong>\u201d) a los que se sujetan la(s) persona(s) f\u00edsica(s) o moral(es) (el \u201cAFILIADO<\/strong>\u201d o \u201cUSTED<\/strong>\u201d) que se registre\u00a0 en el sitio web https:\/\/www.wintown.com.mx\/<\/a> (el \u201cSitio Web<\/strong>\u201d), y New Ads S.A. de C.V., (que figurar\u00e1 indistintamente como \u201cWINTOWN<\/strong>\u201d, \u201cNosotros<\/strong>\u201d o \u201cNuestro<\/strong>\u201d) para la promoci\u00f3n y uso de los productos de entretenimiento y juego de azar de uso exclusivo de WINTOWN, lo anterior de acuerdo a lo dispuesto por el art\u00edculo 1803 del C\u00f3digo Civil Federal de los Estados Unidos Mexicanos.<\/p>

AVISO:<\/strong> POR FAVOR LEA ESTE CONTRATO ATENTAMENTE. AL PARTICIPAR EN EL PROGRAMA DE AFILIADOS, USTED ACEPTA CUMPLIR Y ESTAR VINCULADO LEGALMENTE POR LOS T\u00c9RMINOS Y CONDICIONES DE ESTE CONTRATO. SI USTED NO ACEPTA LA TOTALIDAD DE LOS T\u00c9RMINOS DEL PRESENTE CONTRATO, NO PODR\u00c1 SER PARTE DEL PROGRAMA DE AFILIADOS.<\/p>

Usted deber\u00e1 aceptar y adherirse al presente Contrato sin realizar ning\u00fan cambio o modificaci\u00f3n al mismo, en los t\u00e9rminos que m\u00e1s adelante se precisan.<\/p>

\u00a0<\/p>

La afiliaci\u00f3n s\u00f3lo est\u00e1 disponible para personas que tengan capacidad legal para contratar y con residencia en los Estados Unidos Mexicanos. No podr\u00e1n afiliarse, ni podr\u00e1n utilizar los Productos, los menores de edad, quienes\u00a0 tengan\u00a0 incapacidad legal para contratar o las personas que hayan sido suspendidas de forma temporal o definitiva del Sitio Web por haber incumplido los T\u00e9rminos y Condiciones o por haber incurrido a criterio de WINTOWN, en conductas o actos dolosos o fraudulentos mediante el uso del Sitio Web o los Productos<\/p>

\u00a0<\/strong><\/p>

1. Introducci\u00f3n a Nuestros Productos. <\/strong><\/p>

WINTOWN es una persona jur\u00eddica especializada en el entretenimiento online de juegos de azar y captaci\u00f3n de apuestas permitidas por la legislaci\u00f3n mexicana. Para la realizaci\u00f3n de esta actividad, cuenta con una plataforma de servicios que incluye una\u00a0 o varias p\u00e1ginas web www.strendus.com.mx<\/a> (el \u201cSitio Web de Productos\u201d) y aplicaciones m\u00f3viles en donde ofrece de manera enunciativa m\u00e1s no limitativa Casino, P\u00f3ker, Sportsbook, E-sports, Social Gaming, Fantasy entre otros (los \u201cProductos<\/strong>\u201d).<\/p>

El objeto del presente Contrato y en las condiciones m\u00e1s adelante detalladas, WINTOWN otorga al AFILIADO las facultades necesarias para la promoci\u00f3n de los Productos y como consecuencia, la captaci\u00f3n y registro de nuevos clientes (los \u201cReferidos<\/strong>\u201d o \u201cClientes<\/strong>\u201d indistintamente) para el Sitio Web de Productos. El AFILIADO para registrarse y hacer uso del Sitio Web, necesitar\u00e1 hardware compatible, software (se recomienda y, en ocasiones, se exige la \u00faltima versi\u00f3n) y acceso a Internet (con sujeci\u00f3n a las tarifas que pueda aplicar el proveedor correspondiente). El rendimiento de nuestros servicios puede verse afectado por estos factores.<\/p>

\u00a0<\/p>

2. Su Solicitud para Afiliaci\u00f3n.<\/strong><\/p>

Si desea convertirse en un miembro del ‘Programa de afiliados’, Usted podr\u00e1 hacerlo a trav\u00e9s de internet o contactando a nuestros l\u00edderes de afiliaci\u00f3n en donde aceptar\u00e1 y se adherir\u00e1 a los T\u00e9rminos y Condiciones de este Contrato.<\/p>

Para su registro en internet, deber\u00e1 acceder al sitio www.wintown.com.mx<\/a> y dar\u00e1 clic al bot\u00f3n de \u201cRegistro\u201d, en donde\u00a0\u00a0 deber\u00e1 llenar todas y cada una de las casillas marcadas como obligatorios con la informaci\u00f3n requerida, adem\u00e1s deber\u00e1 adjuntar la documentaci\u00f3n solicitada en el Sitio Web. Una vez realizado lo anterior autom\u00e1ticamente se le asignar\u00e1 un usuario y contrase\u00f1a.<\/p>

Si Usted decide registrarse a trav\u00e9s de un l\u00edder de afiliaci\u00f3n, deber\u00e1 llamar el n\u00famero +52 (81)1798-1161 o enviar un correo electr\u00f3nico a contacto@wintown.com.mx. Nuestro l\u00edder de afiliaci\u00f3n le har\u00e1 llegar el formato de solicitud as\u00ed como la lista de documentos que deber\u00e1 adjuntar a ella.<\/p>

En ambos casos la solicitud formar\u00e1 parte del presente Contrato.\u00a0 Nos reservamos el derecho de aceptar o rechazar su solicitud, siendo nuestra decisi\u00f3n definitiva y absoluta. Le enviaremos un mensaje de correo electr\u00f3nico y\/o a trav\u00e9s de alguno de nuestros l\u00edderes de afiliaci\u00f3n para notificarle si su solicitud ha sido aceptada o rechazada, dentro de las 72 (setenta y dos) horas posteriores al env\u00edo de la solicitud completa y la documentaci\u00f3n requerida.<\/strong><\/p>

\u00a0<\/strong><\/p>

3. Registro de Clientes y\/o Referidos.<\/strong><\/p>

Una vez que ha sido aceptada su solicitud y se reconozca como AFILIADO de WINTOWN, el AFILIADO podr\u00e1 promocionar con sus clientes el Sitio Web de los Productos, y dirigirlos a trav\u00e9s de algunos de sus enlaces de internet (\u201cURL\u201d) que el AFILIADO genere para dichos fines de conformidad a lo establecido en la cl\u00e1usula 4.1 <\/strong>de este Contrato.<\/p>

Para efectos de este Contrato se entender\u00e1 como cliente y\/o referido indistintamente, aquellas personas f\u00edsicas, mayores de edad que se registren en el Sitio Web de Productos y que hayan sido referidos por el AFILIADO sin que hubieren estado registrados previamente en el Sitio Web de Productos (en lo sucesivo el \u201cCliente<\/strong>\u201d o el \u201cReferido<\/strong>\u201d indistintamente). Todos los Referidos deber\u00e1n de cumplir con los t\u00e9rminos y condiciones establecidos en el Sitio Web de Productos y proporcionar la informaci\u00f3n solicitada para su registro y uso de los Productos. Nos reservamos el derecho de rechazar a un Cliente (o cerrar una cuenta) si fuera necesario, de conformidad con los t\u00e9rminos y condiciones para los usuarios del Sitio Web de Productos.<\/p>

3.1 Seguimiento de la actividad de los clientes<\/strong><\/p>

Realizaremos un seguimiento constante de las actividades de los Clientes para proporcionarle al AFILIADO un informe con un resumen de las actividades de estos dentro de los Productos, en los que este podr\u00e1 acceder a dicho reporte de actividades mismo que estar\u00e1 disponible para su visualizaci\u00f3n diaria.\u00a0<\/p>

\u00a0<\/p>

4. Derechos y obligaciones del AFILIADO<\/strong><\/p>

4.1<\/strong>. Enlaces a nuestras p\u00e1ginas web<\/strong><\/p>

Al registrarse y ser reconocido por WINTOWN como AFILIADO, Usted acepta crear y\/o habilitar bajo su propio costo y responsabilidad, URL\u2019s que vinculen su sitio web al Sitio Web, al Sitio Web de Productos y\/o cualquier otro que WINTOWN adicione para proveer de nuevos productos. Podr\u00e1 vincularse con nosotros mediante cualquiera de nuestros banners (dise\u00f1os), correos electr\u00f3nicos, art\u00edculos o con un enlace de texto cumpliendo en todo momento lo dispuesto para el uso de dise\u00f1os aprobados y licencia para usar marcas establecidos en las cl\u00e1usulas 4.8. y 4.9. del presente Contrato. Este ser\u00e1 el \u00fanico m\u00e9todo por el que Usted podr\u00e1 promovernos.<\/p>

4.1.1. Responsabilidad de su p\u00e1gina web<\/strong><\/p>

Usted ser\u00e1 el \u00fanico responsable del desarrollo, gesti\u00f3n y mantenimiento de su p\u00e1gina Web, y\/u otras fuentes de tr\u00e1fico y de todos los materiales que aparezcan en las mismas. Por ejemplo, Usted ser\u00e1 el \u00fanico responsable de asegurarse de que todos los materiales que aparezcan en su p\u00e1gina web no constituyan motivo de difamaci\u00f3n o de ilegalidad. Adem\u00e1s, Usted ser\u00e1 responsable de cualquier reclamaci\u00f3n, da\u00f1o o gasto (incluidos costes legales) derivados directa o indirectamente del desarrollo, gesti\u00f3n, mantenimiento y contenido de su p\u00e1gina web, as\u00ed como las fuentes de tr\u00e1fico que genere en el Sitio Web.<\/p>

El ‘Programa de Afiliados’ de WINTOWN tiene como finalidad su participaci\u00f3n directa. No podr\u00e1 abrir cuentas de afiliados en nombre de otros participantes. No se permitir\u00e1 abrir cuentas de afiliados para terceras partes, ni unificar cuentas de afiliados sin previa autorizaci\u00f3n de WINTOWN. Si un AFILIADO desea transferir su cuenta a otro AFILIADO, deber\u00e1 solicitar un permiso previo a WINTOWN a trav\u00e9s de los diversos medios de comunicaci\u00f3n. La aprobaci\u00f3n es a nuestra entera discreci\u00f3n.<\/strong><\/p>

4.2. \u00d3rdenes de Inserci\u00f3n<\/strong><\/p>

Toda orden de inserci\u00f3n deber\u00e1 sujetarse a los presentes T\u00e9rminos y Condiciones, y en su caso, WINTOWN podr\u00e1 establecer par\u00e1metros comerciales espec\u00edficos a los que el AFILIADO tendr\u00e1 derecho al participar en el Programa de Afiliados de Wintown y que deber\u00e1 ser firmado por las partes.<\/p>

WINTOWN se reserva el derecho a aprobar o negar el uso de una Orden de Inserci\u00f3n.<\/strong><\/p>

4.3. Promoci\u00f3n.\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 <\/strong><\/p>

El AFILIADO se obliga a promocionar de manera continua el Sitio Web de Productos a trav\u00e9s de los URL\u00b4s que para dichos efectos el AFILIADO haya creado y habilitado dentro de sus medios online disponibles o creados espec\u00edficamente para dichos efectos.\u00a0 Deber\u00e1 incorporar y mostrar de manera continua y prominente, los enlaces m\u00e1s actuales suministrados, en todas las p\u00e1ginas de su sitio WEB, en la manera y con la ubicaci\u00f3n previamente autorizada por nosotros, sin alterar la forma, localizaci\u00f3n u operaci\u00f3n de los enlaces sin nuestro consentimiento previo por escrito. Podr\u00e1 solicitar el cobro de comisiones por Clientes, a que se refiere este contrato, siempre que se produzca por su parte una promoci\u00f3n continua en los distintos Productos. Nos reservamos el derecho de reducir los porcentajes de comisiones por Clientes, si Usted reduce sus esfuerzos por referir clientes nuevos. La disminuci\u00f3n o suspensi\u00f3n de la promoci\u00f3n de nuestras p\u00e1ginas Web se tomar\u00e1 como la rescisi\u00f3n del Contrato.<\/p>

Mediante estos T\u00e9rminos y Condiciones, le damos el derecho no exclusivo e intransferible de dirigir clientes a nuestro Sitio de Productos y cualquier otro que WINTOWN pudiere habilitar de acuerdo con las condiciones de este Contrato. Este Contrato no le garantiza ning\u00fan derecho exclusivo o privilegio a la hora de asistirnos con la provisi\u00f3n de servicios que puedan derivarse de los Clientes referidos desde su sitio Web. Por razones obvias, es nuestra intenci\u00f3n en todo momento refrendar contratos y obtener asistencia por parte de otras fuentes para llevar a cabo servicios o actividades de la misma o similar \u00edndole que los derivados de su afiliaci\u00f3n. Usted no tendr\u00e1 ning\u00fan derecho de reclamar ninguna comisi\u00f3n por clientes referidos o ning\u00fan otro tipo de compensaci\u00f3n sea de la \u00edndole que sea que no deriven de la gesti\u00f3n de su afiliaci\u00f3n.<\/p>

Al registrarse en este ‘Programa de Afiliados’ acepta crear y mantener enlaces \u00fanicos que vinculen su sitio web a las p\u00e1ginas Web, productos o plataformas de WINTOWN, dentro del sitio www.wintown.com.mx<\/a>, o que son gestionadas por dicha empresa. Podr\u00e1 vincularse con nosotros mediante cualquiera de nuestros banners (dise\u00f1os), correos electr\u00f3nicos, art\u00edculos o con un enlace de texto. Este ser\u00e1 el \u00fanico m\u00e9todo por el que podr\u00e1 promovernos.<\/p>

4.4. M\u00ednimo de Clientes referidos<\/strong><\/p>

El AFILIADO se obliga a referir como m\u00ednimo 10 (diez) clientes dentro de los 3 (tres) meses posteriores al inicio de su contrato de afiliaci\u00f3n. Si el AFILIADO no cumple con este requisito, al t\u00e9rmino de este plazo WINTOWN cerrar\u00e1 la cuenta del AFILIADO, sin restricci\u00f3n de que pueda incorporarse nuevamente al Programa de Afiliados a trav\u00e9s de una cuenta nueva.<\/p>

Para que el AFILIADO conserve su cuenta una vez transcurrido el plazo de 3 (tres) meses mencionado en el p\u00e1rrafo anterior, no deber\u00e1 transcurrir m\u00e1s de 2 meses continuos sin que el AFILIADO haya incorporado nuevos Referidos y que los Clientes ya incorporados sigan activos, de lo contrario, WINTOWN, sin previo aviso, podr\u00e1 dar por terminado el presente Contrato. Para estos efectos, un Referido dejar\u00e1 de ser activo, cuando no realice por lo menos un dep\u00f3sito y\/o apuesta en un plazo de 6 meses continuos e ininterrumpidos, y en consecuencia, ya no podr\u00e1 considerarse en ning\u00fan momento posterior para el c\u00e1lculo del cobro de la comisi\u00f3n del AFILIADO.\u00a0<\/p>

4.5. Correo no deseado o\/y Spam<\/strong><\/p>

WINTOWN se reserva el derecho de cancelar este Contrato de manera inmediata y unilateral, y en su caso, cerrar la cuenta y retener el pago de comisiones, cuando el AFILIADO realice la promoci\u00f3n del Sitio Web de Productos mediante pr\u00e1cticas de correo no deseado o spam o si decide anunciar los Productos de cualquier otra forma distinta a las aqu\u00ed previstas (en adelante \u201cSPAM<\/strong>\u201d). Las pr\u00e1cticas de \u201cSPAM\u201d incluye pero no se limita a: tr\u00e1fico incentivado, tr\u00e1fico o publicidad enga\u00f1osa o no autorizada por WINTOWN, o cualquier tipo de acto que se considere que se est\u00e1 obrando de mala fe o dolo, para activar el sistema de comisiones del Sitio Web de Productos.<\/p>

El AFILIADO no podr\u00e1 en ning\u00fan momento realizar ninguna reclamaci\u00f3n, comprometer a WINTOWN frente a terceros, o dar ninguna garant\u00eda en conexi\u00f3n con nosotros. Tampoco el AFILIADO tendr\u00e1 la autoridad de relacionarnos con ning\u00fan tipo de obligaci\u00f3n, de acuerdo a lo establecido en este Contrato.<\/p>

4.6. Propiedad Intelectual<\/strong><\/p>

El Afiliado no podr\u00e1 comprar o registrar palabras clave, t\u00e9rminos u otros identificadores para usar en cualquier buscador de Internet, portal, servicio publicitario o cualquier otro servicio de b\u00fasqueda o referencia de clientes y que sean id\u00e9nticos o similares a cualquiera de las marcas registradas por nosotros o por cualquiera de nuestros afiliados, incluyendo las posibles variaciones del mismo o que incluyan palabras clave que sean id\u00e9nticas o parecidas a cualquiera de las marcas registradas de WINTOWN o del Sitio Web de Productos, su permisionaria, operadora, afiliadas, filiales, controladas, y\/o controladoras .<\/p>

El AFILIADO en este acto reconoce que la informaci\u00f3n, datos, texto, software, sonido, fotograf\u00edas, gr\u00e1ficas, videos, mensajes y los materiales contenidos dentro de los sitios de WINTOWN, as\u00ed como los dise\u00f1os en la misma, publicados o trasmitidos de manera privada, es de la titularidad de WINTOWN o del Sitio Web de Productos, a menos que se especifique lo contrario. En caso de que el AFILIADO requiera imprimir y\/o copiar el contenido disponible en nuestro Sitio Web, acepta que ser\u00e1 \u00fanica y exclusivamente para los fines de promoci\u00f3n objeto de este Contrato por lo que cualquier uso distinto al aqu\u00ed estipulado est\u00e1 prohibido.<\/p>

En caso de que el AFILIADO genere contenido dentro de sus medios, ser\u00e1 responsable del mismo sin importar la manera en que este haya sido reproducido ni lo medios por los cuales haya sido enviado, y deber\u00e1 responder por los da\u00f1os y perjuicios que estos causen con motivo del material distribuido, oblig\u00e1ndose a sacar en paz y a salvo a WINTOWN o al Sitio Web de Productos, su permisionaria, operadora, filiales, subsidiarias, controladas y\/o controladoras de cualquier conflicto legal.<\/p>

El AFILIADO reconoce que el Sitio Web y el Sitio Web de Productos, as\u00ed como cualquier software necesario para la conexi\u00f3n con los Productos puede contener informaci\u00f3n confidencial que puede ser protegida por leyes de propiedad intelectual u otras leyes aplicables, por lo que acepta que el contenido que forma parte de la publicidad de los Afiliados puede ser protegido y\/o limitado al uso por derechos de autor, reproducci\u00f3n, marca, patente u otros derechos de propiedad y leyes.<\/p>

Expuesto lo anterior, el AFILIADO se compromete a no modificar, copiar, reproducir, rentar, prestar, vender, distribuir, o crear obras de cualquier material contenido en el Sitio Web, el Sitio Web de Productos o cualquier otro que WINTOWN establezca, adem\u00e1s de abstenerse a crear obras basadas en los mismos, ya sean en forma total o parcial.<\/p>

Queda prohibida la reproducci\u00f3n total o parcial de todos y cada uno de los nombres que son utilizados a trav\u00e9s de los sitios de WINTOWN, as\u00ed como sus dise\u00f1os, organizaci\u00f3n, recopilaci\u00f3n, compilaci\u00f3n, informaci\u00f3n, transferencias magn\u00e9ticas o electr\u00f3nicas, conversi\u00f3n digital, logotipos, fotograf\u00edas, im\u00e1genes, programas, c\u00f3digo fuente,\u00a0 aplicaciones y cualquier informaci\u00f3n generada, contenida, difundida o publicada\u00a0 en nuestros sitios de internet, redes sociales o aplicaciones en dispositivos m\u00f3viles, ya que han sido protegidos y registrados a nombre de WINTOWN o del Sitio Web de Productos, su permisionaria, operadora, filiales, subsidiarias, controladas o controladoras.<\/p>

4.7. Registro de nombres de dominios<\/strong><\/p>

Asimismo, el AFILIADO no podr\u00e1 registrar (ni solicitar el registro) de ning\u00fan nombre de dominio similar a otro nombre de dominio usado por o registrado en nombre de cualquier miembro de WINTOWN y sus afiliados, o cualquier otro nombre que pueda asociarse con los productos, plataformas relacionadas con WINTOWN.<\/p>

4.8. Dise\u00f1os aprobados<\/strong><\/p>

Usted s\u00f3lo podr\u00e1 hacer uso de los dise\u00f1os creativos que hayamos previamente aprobado y\u00a0 se le hayan proporcionado a trav\u00e9s de los l\u00edderes de afiliaci\u00f3n\u00a0 (banners, html, mailers, columnas editoriales, im\u00e1genes y logotipos) y no podr\u00e1 cambiar de ninguna forma la apariencia de los mismos, ni promocionarnos con cualquier otro material que no sean los previamente aprobados. La apariencia y sintaxis de los enlaces ser\u00e1n dise\u00f1ados y designados por nosotros y constituir\u00e1n la \u00fanica representaci\u00f3n permitida y autorizada para la promoci\u00f3n de nuestras p\u00e1ginas Web. En particular, no debe crear ning\u00fan enlace directo a los materiales promocionales de cualquiera de los sitios Web de WINTOWN.<\/p>

Antes de la publicaci\u00f3n del material publicitario dentro de su sitio web, Usted deber\u00e1 enviar a WINTOWN la versi\u00f3n final de la misma a fin de que \u00e9sta sea aprobada para su publicaci\u00f3n, de lo contrario no nos haremos responsables de las quejas, demandas o reclamos impuestos por terceros con respecto a dicha publicidad.<\/p>

4.9. Licencia para usar marcas<\/strong><\/p>

Durante el t\u00e9rmino de este Contrato, le concedemos la licencia no exclusiva e intransferible del uso de las marcas de los diversos Productos, con el \u00fanico fin de exhibir materiales promocionales en su p\u00e1gina web siempre y cuando dicha publicaci\u00f3n sea aprobada por nosotros. No podr\u00e1 conceder esta licencia a su vez a terceras partes, asignadas o transferidas por Usted. Su derecho para usar las marcas est\u00e1 limitado y reducido solamente a esta licencia. Usted en ning\u00fan momento podr\u00e1 afirmar la invalidez, inaplicabilidad o duda de la propiedad de las marcas en ninguna acci\u00f3n o disputa de cualquier naturaleza, y no emprender\u00e1 ninguna acci\u00f3n que pueda perjudicar nuestros derechos sobre las marcas, debilitar\u00e1 su validez o disminuir\u00e1 la buena voluntad asociada a \u00e9stas. En el caso de que terceras partes puedan hacer mal uso de las marcas, el AFILIADO deber\u00e1 notificarnos inmediatamente dicha circunstancia.<\/p>

4.10. Buena Fe<\/strong><\/p>

No podr\u00e1 beneficiarse de manera consciente de cualquier actividad, tr\u00e1fico de clientes que no fuera generada de buena fe tanto con o sin la intenci\u00f3n de causarnos alg\u00fan perjuicio. Nos reservamos el derecho de retener cualquier cantidad monetaria que le pudiera corresponder bajo las condiciones de este Contrato, si tenemos motivos razonables para creer que dicho tr\u00e1fico de Clientes ha sido generado con su conocimiento.<\/p>

Nos reservamos el derecho de congelar el pago de comisiones al AFILIADO y\/o suspender o cerrar cuentas en las que el AFILIADO abuse de cualquiera de las ofertas o promociones de WINTOWN y sus marcas asociadas, tanto con o sin su conocimiento. Ello incluye, pero no se limita a situaciones en las que diferentes clientes realicen apuestas a resultados opuestos de un mismo evento o apartado del mismo, con el objeto de minimizar el riesgo y solicitar las bonificaciones.<\/p>

5. C\u00e1lculo y Pago de las comisiones <\/strong><\/p>

5.1. Comisi\u00f3n para el Afiliado.<\/strong><\/p>

El AFILIADO conforme al cumplimiento de las obligaciones de este Contrato podr\u00e1 ser acreedor de una comisi\u00f3n variable que oscilar\u00e1 entre un 25% (veinticinco) y 45% (cuarenta y cinco por ciento), la cual ser\u00e1 calculada de acuerdo al m\u00e9todo de c\u00e1lculo de las comisiones que se establece en la cl\u00e1usula 5.2 de este Contrato y con base en el Beneficio Neto generado por los Clientes. Para efectos del presente Contrato, Beneficio Neto se definir\u00e1 conforme a lo siguiente:<\/p>

– Para la\u00a0 actividad de Sportsbook el Beneficio Neto ser\u00e1, la cantidad bruta recibida por nosotros en concepto de todas las apuestas ya determinadas, realizadas por los Clientes despu\u00e9s de haber deducido, (i) la cantidad econ\u00f3mica pagada a los Clientes en concepto de ganancias por apuestas, (ii) la cantidad pagada en concepto de impuestos (o cualquier provisi\u00f3n de fondos razonable de los mismos), (iii) las deudas contra\u00eddas, (iv) el fraude, (v) las cantidades apostadas que se devuelvan, (vi) las transacciones que se rechacen siguiendo instrucciones de la entidad emisora de la tarjeta del titular de la misma, (vii) las apuestas anuladas y (viii) la bonificaciones por apuestas\/ingresos, (ix) gastos de licencia , (v) los cr\u00e9ditos concedidos a usuarios, y (vi) las bonificaciones.<\/p>

– Para la\u00a0 actividad de Casino el Beneficio Neto ser\u00e1, el valor del saldo de apertura con la suma de los fondos transferidos despu\u00e9s de haber deducido (i) los fondos transferidos fuera de la cuenta, (ii) el saldo final, (iii) los cr\u00e9ditos\/bonos concedidos a Clientes, (iv) la cantidad pagada en concepto de impuestos (o cualquier provisi\u00f3n de fondos razonable de los mismos), (v) gastos de licencia, (vi) las transacciones rechazadas por la entidad emisora de la tarjeta del titular de la misma, (vii) las deudas contra\u00eddas y (viii) el fraude.<\/p>

– Para la actividad de P\u00f3ker el Beneficio Neto ser\u00e1, el valor real del jugador despu\u00e9s de haber deducido (i) la cantidad pagada en concepto de impuestos (o cualquier provisi\u00f3n de fondos razonable de los mismos), (ii) gastos de licencia, (iii) las bonificaciones en fichas de p\u00f3ker, (iv) las transacciones rechazadas por la entidad emisora de la tarjeta del titular, (v) las deudas y (vi) el fraude.<\/p>

– Para la actividad de E-sports el Beneficio Neto ser\u00e1, la cantidad bruta apostada despu\u00e9s de haber deducido (i) las apuestas anuladas, (ii) las ganancias, (iii) la cantidad pagada en concepto de impuestos (o cualquier provisi\u00f3n de fondos razonable de los mismos), (iv) gastos de licencia, (v) los cr\u00e9ditos concedidos a usuarios, (vi) las bonificaciones, (vii) las transacciones rechazadas por la entidad emisora de la tarjeta del titular de la misma , (viii) las deudas y (ix) el fraude.<\/p>

– Para la actividad de Social Gaming, el Beneficio Neto ser\u00e1, la cantidad bruta apostada despu\u00e9s de haber deducido (i) las apuestas anuladas, (ii) las ganancias, (iii) la cantidad pagada en concepto de impuestos (o cualquier provisi\u00f3n de fondos razonable de los mismos), (iv) gastos de licencia, (v) los cr\u00e9ditos concedidos a usuarios, (vi) las bonificaciones, (vii) las transacciones rechazadas por la entidad emisora de la tarjeta del titular de la misma , (viii) las deudas y (ix) el fraude.<\/p>

– Para la actividad de Fantasy el Beneficio Neto ser\u00e1, la cantidad bruta apostada despu\u00e9s de haber deducido (i) las apuestas anuladas, (ii) las ganancias, (iii) la cantidad pagada en concepto de impuestos (o cualquier provisi\u00f3n de fondos razonable de los mismos), (iv) gastos de licencia, (v) los cr\u00e9ditos concedidos a Clientes, (vi) las bonificaciones, (vii) las transacciones rechazadas por la entidad emisora de la tarjeta del titular de la misma, (viii) las deudas y (ix) el fraude.<\/p>

Nos reservamos el derecho de cambiar el porcentaje de la comisi\u00f3n y m\u00e9todo de c\u00e1lculo de \u00e9sta como creamos conveniente, de conformidad a lo establecido en la cl\u00e1usula 5.2.<\/p>

5.2. M\u00e9todo de c\u00e1lculo de las comisiones<\/strong><\/p>

Usted podr\u00e1 solicitar el cobro de las comisiones sobre el saldo de sus ganancias en Sportsbook, Casino, P\u00f3ker, Fantasy,\u00a0 Social Gaming, E-sports. Si dicho saldo es negativo (bien en Sportsbook, Casino, P\u00f3ker, Fantasy, Social Gaming, E-sports), se har\u00e1 la correspondiente deducci\u00f3n en las comisiones disponibles.<\/p>

El pago al que sea acreedor el AFILIADO, ser\u00e1 determinado en relaci\u00f3n con el n\u00famero y\/o el desempe\u00f1o de los Clientes del AFILIADO dentro de los Sitio Web de Productos, y ser\u00e1 conforme al esquema siguiente:<\/p>

5.3. Comisiones Costo por Acci\u00f3n (CPA)<\/strong><\/p>

El costo por acci\u00f3n (en adelante \u201cCPA<\/strong>\u201d) es una modalidad de pago de comisiones cuando los Clientes del AFILIADO realizan el primer dep\u00f3sito de una cantidad fija m\u00ednima (en adelante \u201cBaseline<\/strong>\u201d), lo cual deber\u00e1 ser revisado y aprobado por WINTOWN. El \u201cCPA\u201d \u00fanicamente podr\u00e1 ser otorgado a los nuevos AFILIADOS, para lo cual WINTOWN fijar\u00e1 por lo menos los siguientes par\u00e1metros:<\/p>

i)\u00a0 El importe del primer dep\u00f3sito que deber\u00e1n efectuar los Clientes una vez hecho el registro en el Sitio Web.<\/p>

ii) El importe y n\u00famero m\u00e1ximo de \u201cCPA\u201d a recibir por AFILIADO que cumpla con los requisitos del pago de comisiones establecidos en la cl\u00e1usula 5.<\/p>

WINTOWN se reserva el derecho de modificar en cualquier momento los par\u00e1metros del \u201cCPA\u201d con base en los resultados de la actividad y desempe\u00f1o del AFILIADO e incluso WINTOWN podr\u00e1 restringir el pago del \u201cCPA\u201d siempre que la actividad de los Clientes no sea parte de un Tr\u00e1fico Incentivado conforme a la Cl\u00e1usula 5.5.<\/p>

5.4. Contracargos<\/strong><\/p>

El AFILIADO entiende y reconoce que los dep\u00f3sitos realizados con tarjetas de d\u00e9bito y\/o cr\u00e9dito por los Clientes en nuestro Sitio pueden llegar a convertirse en Contracargos (reclamos por transacciones no reconocidas por los Clientes ante su Banco y\/o entidad financiera). En caso que alg\u00fan Cliente levante una aclaraci\u00f3n ante su Banco y\/o entidad financiera, cuya resoluci\u00f3n resulte procedente a favor del Cliente, el AFILIADO deber\u00e1 responsabilizarse por las p\u00e9rdidas que deriven de estos Contracargos. El AFILIADO acepta que el importe que resulte de estos Contracargos sea descontado del pago de las comisiones a que sea acreedor en los pr\u00f3ximos per\u00edodos que correspondan y hasta que se liquide su deuda frente a WINTOWN.<\/p>

5.5. Trafico incentivado<\/strong><\/p>

El tr\u00e1fico incentivado est\u00e1 estrictamente prohibido por WINTOWN en el Sitio Web y no se pagar\u00e1 comisi\u00f3n alguna a los AFILIADOS, por Clientes que efect\u00faen dep\u00f3sitos y\/o realicen apuestas de un tr\u00e1fico considerado incentivado. Significa tr\u00e1fico incentivado cualquier actividad del AFILIADO que tenga por finalidad ofrecer una recompensa o incentivo a los Clientes a cambio de realizar un dep\u00f3sito y\/o apuesta m\u00ednima en el Sitio Web.<\/p>

El AFILIADO entiende y conoce que WINTOWN tiene pleno derecho a cerrar la cuenta y\/o retener el pago de comisiones al AFILIADO por dep\u00f3sitos y\/o apuestas de Clientes que se puedan considerar incentivados de acuerdo al an\u00e1lisis del sistema de riesgos y\/o \u00e1reas relacionadas con el control de calidad y seguridad de WINTOWN.<\/p>

5.6. Solicitudes de pago de las comisiones por Clientes<\/strong><\/p>

El AFILIADO, previo a solicitar el cobro de la comisi\u00f3n correspondiente por Cliente, su cuenta de afiliado de WINTOWN deber\u00e1 tener un m\u00ednimo de 10 (diez) Clientes. El cobro y pago de comisiones est\u00e1 sujeto al cumplimiento de lo dispuesto en la cl\u00e1usula 4.4 <\/strong>y con el pago m\u00ednimo especificado m\u00e1s adelante.<\/p>

El AFILIADO acepta el procedimiento de auto facturaci\u00f3n con WINTOWN respecto al pago de comisiones por referir a Clientes. En virtud del procedimiento de auto facturaci\u00f3n, si el AFILIADO desea solicitar el pago de cualquier comisi\u00f3n, debe hacerlo a trav\u00e9s de su cuenta en el sistema de afiliados de WINTOWN. Una vez hecho esto, WINTOWN generar\u00e1 una factura con la informaci\u00f3n relacionada con su comisi\u00f3n por referir a clientes, la cual el AFILIADO acepta recibir. El pago de cualquier factura se realiza seg\u00fan las condiciones establecidas abajo y est\u00e1 sujeto a las mismas. El AFILIADO acepta que no podr\u00e1 solicitar ninguna factura adicional con un Registro Federal de Contribuyentes (\u201cR.F.C.\u201d) respecto a sus servicios como AFILIADO y deber\u00e1 notificarnos en caso de que cambie su RFC o en caso de ser persona moral, cambie su raz\u00f3n social. Este procedimiento de auto facturaci\u00f3n permanecer\u00e1 durante la vigencia de este Contrato.<\/p>

El monto m\u00ednimo de la solicitud de pago por comisiones por clientes referidos por mes ser\u00e1 en pesos mexicanos por la siguiente cantidad:<\/p>

Podr\u00e1n realizarse solicitudes de pagos de comisiones\u00a0 seg\u00fan su Beneficio Neto:<\/p>

(i) a cuenta designada de WINTOWN (recomendado), o<\/p>

(ii) transferencia bancaria<\/p>

El AFILIADO deber\u00e1 considerar que, aunque WINTOWN no le cobrar\u00e1 ninguna comisi\u00f3n por transferencias bancarias, su banco podr\u00eda cobrarle alguna cantidad en dichas transacciones las cuales deber\u00e1n de ser cubiertas por el AFILIADO.<\/p>

5.7. Discrepancias<\/strong><\/p>

Cualquier discrepancia que pueda surgir a trav\u00e9s del proceso de conciliaci\u00f3n del c\u00e1lculo y pago de comisiones del AFILIADO, prevalecer\u00e1 el saldo a pagar que arroje el sistema de afiliados y\/o backend (transaccionalidad de Clientes) de WINTOWN.<\/p>

6. Duraci\u00f3n y terminaci\u00f3n del Contrato<\/strong><\/p>

6.1. Vigencia y terminaci\u00f3n.<\/strong><\/p>

Este Contrato entrar\u00e1 en vigor una vez se apruebe su solicitud de afiliaci\u00f3n y continuar\u00e1 en efecto hasta que una de las dos partes notifique a la otra por escrito, su intenci\u00f3n de terminar anticipadamente dicho Contrato, en cuyo caso se rescindir\u00e1 de manera inmediata sin responsabilidad para WINTOWN. La terminaci\u00f3n anticipada, con o sin raz\u00f3n, ser\u00e1 por propia voluntad por ambas partes. A efectos de rescisi\u00f3n y\/o terminaci\u00f3n del presente Contrato, los escritos a trav\u00e9s de correo electr\u00f3nico se considerar\u00e1n como una forma inmediata y por escrito de notificaci\u00f3n.<\/p>

6.2. P\u00e1ginas Web inadecuadas<\/strong><\/p>

Cancelaremos este Contrato si determinamos (a nuestra entera discreci\u00f3n) que su sitio web es inadecuado. Las p\u00e1ginas web inadecuadas incluyen, pero no se limitan a, p\u00e1ginas web dirigidas a los ni\u00f1os y\/o menores de edad, que contengan cualquier forma de pornograf\u00eda u otros actos sexuales de \u00edndole ilegal, que promocionen la violencia, que promocionen la discriminaci\u00f3n racial, sexual o religiosa, que promocionen la xenofobia, discriminen la discapacidad f\u00edsica, orientaci\u00f3n sexual o edad y que promocionen actividades ilegales o que violen los derechos de propiedad intelectual o cualquier normativa de publicidad o c\u00f3digo de pr\u00e1ctica, adem\u00e1s de la promoci\u00f3n de los Productos en este tipo de p\u00e1ginas, esto es, dirigidas a los ni\u00f1os y\/o menores de edad.<\/p>

6.3. Cuentas duplicadas y auto referidos<\/strong><\/p>

No podr\u00e1 abrir m\u00e1s de una cuenta de afiliado sin permiso previo por escrito de WINTOWN, ni podr\u00e1 ganar comisiones por clientes auto referidos (es decir, referirse uno mismo o personas relacionadas con Usted) a las p\u00e1ginas web de los Productos de WINTOWN.<\/p>

6.4. Obligaciones de Terminaci\u00f3n.<\/strong><\/p>

Una vez terminada la relaci\u00f3n contractual, el AFILIADO deber\u00e1 eliminar todos nuestros banners o iconos de su p\u00e1gina Web y desactivar todos los enlaces de su sitio web que transfieren a todas las p\u00e1ginas web de los Productos de WINTOWN. Todos los derechos y licencias que con anterioridad se le concedieron en este Contrato, cesar\u00e1n de estar en vigor con efecto inmediato. Devolver\u00e1 de manera inmediata, cualquier informaci\u00f3n de \u00edndole confidencial que pudiera estar en su posesi\u00f3n y tambi\u00e9n cualquier copia de dicha informaci\u00f3n confidencial en su posesi\u00f3n, custodia, asimismo, cesar\u00e1 de manera inmediata el uso de las marcas.<\/p>

7. Relaci\u00f3n de las partes<\/strong><\/p>

Usted acepta que en virtud de la adhesi\u00f3n a este Contrato no existir\u00e1 relaci\u00f3n entre el AFILIADO, su sitio web y cualquiera de las marcas o productos que se publicitan dentro del Sitio Web.<\/p>

WINTOWN y Usted son partes independientes entre s\u00ed y ning\u00fan aspecto de este Contrato crear\u00e1 entre ellos ning\u00fan v\u00ednculo, asociaci\u00f3n, actividad empresarial conjunta, agencia, franquicia, representaci\u00f3n de ventas, o relaci\u00f3n de empleo entre ambas partes. Usted no tendr\u00e1 ninguna autorizaci\u00f3n para realizar o aceptar ninguna oferta o representaci\u00f3n en nombre de WINTOWN. El AFILIADO no podr\u00e1 realizar ninguna declaraci\u00f3n, ni en su p\u00e1gina Web ni en ning\u00fan otro lugar, que contradiga ninguna de las condiciones establecidas en este Contrato. En el supuesto de hacerlo, el AFILIADO se obliga a sacar a salvo y en paz a WINTOWN\u00a0 de cualquier reclamaci\u00f3n que pudiere surgir, siendo responsable del pago de cualquier da\u00f1o o perjuicio incluyendo el pago de honorarios de abogados y\/o peritos o cualquier otro profesionista especializado que se requiera.<\/p>

8. Informaci\u00f3n confidencial<\/strong><\/p>

Durante la vigencia de este Contrato, habr\u00e1 ocasiones en las que se le encomendar\u00e1 informaci\u00f3n confidencial sobre nuestro negocio, gestiones o tecnolog\u00eda subyacente y\/o el ‘Programa de Afiliados’ (incluidas, por ejemplo, las comisiones obtenidas mediante el ‘Programa de Afiliados’). Usted no revelar\u00e1 informaci\u00f3n o autorizar\u00e1 el uso de cualquier informaci\u00f3n confidencial a terceras partes o partes externas a este Contrato sin nuestro consentimiento y autorizaci\u00f3n previo por escrito. Asimismo, el AFILIADO estar\u00e1 de acuerdo en usar dicha informaci\u00f3n confidencial solo por razones necesarias a efectos de este Contrato. Las obligaciones del AFILIADO con respecto a la confidencialidad de dicha informaci\u00f3n seguir\u00e1n estando vigentes tras rescindir este Contrato.<\/p>

Usted acepta que la naturaleza de nuestra relaci\u00f3n comercial es de car\u00e1cter estrictamente confidencial; consecuentemente, no podr\u00e1 divulgar la naturaleza de la transacci\u00f3n ni los t\u00e9rminos del presente Contrato a ning\u00fan tercero, salvo que la informaci\u00f3n sea revelada: (i) a sus contadores, abogados y auditores a quienes revel\u00f3 la naturaleza confidencial de la informaci\u00f3n y que han aceptado tratar la informaci\u00f3n como confidencial; y, (ii) de conformidad con los requisitos de agencias gubernamentales o seg\u00fan lo establezcan las disposiciones legales.<\/p>

Usted se obliga a los siguiente: (i) mantener en secreto y estricta confidencialidad toda la informaci\u00f3n escrita o en documento electr\u00f3nico de \u00edndole econ\u00f3mica, de mercados, administrativa, operativa, financiera, t\u00e9cnica de negocios y jur\u00eddica, as\u00ed como otros materiales escritos y datos electr\u00f3nicos de naturaleza secreta y confidencial en materia de informaci\u00f3n, datos, documentos, procesos, diagramas, tecnolog\u00eda, procesos de manufactura, procesos y conocimientos de log\u00edstica, desarrollados por WINTOWN; (ii) a mantener en secreto y estricta confidencialidad toda la informaci\u00f3n y datos, incluyendo cualquier memor\u00e1ndum, informe, manual, evaluaci\u00f3n, correo electr\u00f3nico, escrito y\/o documento electr\u00f3nico elaborado por WINTOWN; (iii) a no revelar, por escrito o verbalmente, por cualquier medio los materiales, escritos y datos electr\u00f3nicos de naturaleza secreta y confidencial en materia de informaci\u00f3n, datos, documentos, procesos, diagramas, tecnolog\u00eda, procesos de manufactura, procesos y conocimientos de log\u00edstica, proporcionados y\/o desarrollados por\u00a0 WINTOWN; y (iv) a no revelar, por escrito o verbalmente, por cualquier medio la informaci\u00f3n, materiales, escritos y\/o datos electr\u00f3nicos de naturaleza secreta y confidencial que se relacionen con funcionarios, empleados, directores y\/o accionistas de WINTOWN.<\/p>

Usted, ser\u00e1 directa y solidariamente responsable de los da\u00f1os y perjuicios que se causen a WINTOWN por el uso indebido de informaci\u00f3n confidencial que realice, y por cualquier acto que se realice en oposici\u00f3n a las restricciones constituidas en los p\u00e1rrafos que anteceden.<\/strong><\/p>

9. Datos Personales<\/strong><\/p>

New Ads, S.A. de C.V. con domicilio en 15 de Mayo No. 1027, Colonia Centro, C.P. 64000, Monterrey, Nuevo Le\u00f3n, utilizar\u00e1 los datos proporcionados por Usted, a fin de asignarle una cuenta de usuario y contrase\u00f1a para acceder como AFILIADO y as\u00ed visualizar los reportes e informaci\u00f3n referente a la operaci\u00f3n objeto de este documento, as\u00ed como para el env\u00edo de mensajes de comunicaci\u00f3n entre nosotros y Usted.<\/p>

El uso, resguardo y tratamiento general de los datos personales tanto del AFILIADO como el Cliente se sujetar\u00e1 a lo establecido en las leyes mexicanas y conforme los t\u00e9rminos establecidos en nuestro aviso de privacidad. En los casos que el AFILIADO como responsable de los datos personales o datos sujetos a tratamiento especial de sus Referidos, de conformidad con la legislaci\u00f3n mexicana, transfiera los datos personales a WINTOWN, por lo que deber\u00e1 comunicar a los Referidos el aviso de privacidad y las finalidades con la que transfiere dichos datos e informaci\u00f3n.<\/p>

La base de datos que se genere como consecuencia del registro de los Clientes del AFILIADO a trav\u00e9s de WINTOWN, ser\u00e1 propiedad \u00fanica y exclusiva de los titulares de los Productos en los que se el Cliente se registren, por lo que Usted no podr\u00e1 solicitar y\/o hacer uso de la informaci\u00f3n recabada, en el Sitio Web de Productos misma que ser\u00e1 sometida al resguardo y protecci\u00f3n confirme a lo establecido en esta cl\u00e1usula y el aviso de privacidad.<\/p>

WINTONW declara, que la informaci\u00f3n proporcionada por el AFILIADO de sus Referidos, ser\u00e1 utilizada \u00fanica y exclusivamente para los fines del presente Contrato por lo que se abstendr\u00e1 de utilizar dicha informaci\u00f3n con fines distintos.<\/p>

10. Derechos Humanos<\/strong><\/p>

WINTOWN apoya los Principios del Pacto Mundial y las Declaraciones de las Naciones Unidas sobre los derechos humanos, est\u00e1ndares de empleo, medio ambiente y anticorrupci\u00f3n. As\u00ed mismo, declara su compromiso por el respeto de los derechos humanos tanto en su lugar de trabajo como en su esfera de influencia a trav\u00e9s del cumplimiento de principios como, la prohibici\u00f3n de trabajo forzoso o bajo coacci\u00f3n, abolici\u00f3n del trabajo infantil, discriminaci\u00f3n en cualquiera de sus formas y ambiente de trabajo seguro. Usted por su parte, manifiesta que conoce, comprende y acepta la cl\u00e1usula del respeto de los Derechos Humanos de WINTOWN y garantiza que en el desarrollo de su actividad y espec\u00edficamente en la ejecuci\u00f3n de este Contrato, no practica ni promueve, ning\u00fan tipo de comportamiento que pueda dar lugar a la violaci\u00f3n de estos derechos y\/o principios.<\/p>

11. Indemnizaci\u00f3n<\/strong><\/p>

Usted, defender\u00e1, indemnizar\u00e1 y no har\u00e1 responsable a WINTOWN, a sus directivos, a sus empleados, ni a ninguno de sus representantes por ning\u00fan problema, p\u00e9rdida, da\u00f1o o costo (incluido el costo legal) resultante de: (a) alg\u00fan tipo de incumplimiento por parte del AFILIADO de alg\u00fan tipo de garant\u00eda, representaci\u00f3n o t\u00e9rmino contenidos en este Contrato, (b) la ejecuci\u00f3n por parte del AFILIADO de las funciones y obligaciones bajo este Contrato, (c) negligencia del AFILIADO o (d) cualquier da\u00f1o causado directa o indirectamente por acci\u00f3n u omisi\u00f3n intencional del AFILIADO, o el uso sin autorizaci\u00f3n de los banners y enlaces del ‘Programa de Afiliados’.<\/p>

12. Renuncias<\/strong><\/p>

WINTOWN no expresa o implica garant\u00edas o representaciones con respecto al ‘Programa de Afiliados’, sobre nosotros mismos o sobre los acuerdos para el cobro de comisiones por clientes referidos (incluidas, sin limitarse a, funcionalidad, garant\u00edas de la idoneidad, mercantilidad, legalidad o no infracci\u00f3n), y no expresa o implica ninguna garant\u00eda surgida en el curso de una actuaci\u00f3n, trato comercial o uso de comercio. Adem\u00e1s, no hacemos ninguna representaci\u00f3n de que la operaci\u00f3n de nuestras p\u00e1ginas Web se interrumpa o no tengan errores, y no nos haremos responsables por ninguna consecuencia si la hubiera. En el caso de que hubiera alguna discrepancia entre los informes ofrecidos en el sistema de www.wintown.com.mx y las bases de datos de WINTOWN, se considerar\u00e1n correctos los informes de las bases de datos.<\/p>

13. Limitaci\u00f3n de la Responsabilidad<\/strong><\/p>

No nos haremos responsables de ning\u00fan da\u00f1o indirecto, especial o consecuente (o de ninguna p\u00e9rdida de ingresos, beneficios o datos) derivados del desarrollo de este Contrato o del ‘Programa de Afiliados’, incluso si nos notificaron con antelaci\u00f3n sobre la posibilidad de tales da\u00f1os. Adem\u00e1s, la responsabilidad total que WINTOWN pueda tener respecto a este Contrato y al ‘Programa de Afiliados’, no exceder\u00e1 la cantidad total pagable a Usted en concepto de comisiones por clientes referidos bajo las condiciones de este Contrato. Nada en este Contrato se interpretar\u00e1 como provisi\u00f3n de ning\u00fan derecho, remedio o beneficio a ninguna persona, entidad o parte de este Contrato. Nuestras obligaciones establecidas bajo este Contrato, no implicar\u00e1n ninguna obligaci\u00f3n personal de nuestros directivos, empleados o accionistas. Cualquier responsabilidad que surja de este Contrato, se limitar\u00e1 solo a da\u00f1os directos sobre las comisiones producidas por clientes referidos.<\/p>

14. Investigaci\u00f3n independiente<\/strong><\/p>

Usted reconoce que ha le\u00eddo y acepta las condiciones contenidas en este Contrato. Entiende que en cualquier momento, podr\u00edamos (directa o indirectamente) solicitar referencias de clientes en t\u00e9rminos que podr\u00edan diferir con los que se encuentran en este Contrato, o gestionar o contratar p\u00e1ginas Web similares o que compitan contra la suya. Tambi\u00e9n evaluar\u00e1 de manera independiente su deseo de participar en este ‘Programa de Afiliados’ y no depender\u00e1 de ninguna representaci\u00f3n, garant\u00eda o declaraci\u00f3n que no est\u00e9 contenida en este Contrato.<\/p>

15. Ley aplicable y jurisdicci\u00f3n<\/strong><\/p>

Para todo lo relativo a la interpretaci\u00f3n, cumplimiento y ejecuci\u00f3n de este Contrato, Usted y WINTOWN convienen en someterse a la legislaci\u00f3n aplicable y a los Tribunales competentes de la ciudad de Monterrey, Nuevo Le\u00f3n, Estados Unidos Mexicanos, expresamente renunciando a cualquier otra jurisdicci\u00f3n que pudiera corresponderles en raz\u00f3n de sus domicilios presentes o futuros o que por cualquier otra causa legal o convencional pudiera corresponderles.\u00a0 <\/strong><\/p>

16. Cesi\u00f3n a otras partes<\/strong><\/p>

El AFILIADO no podr\u00e1 ceder este Contrato a otras partes, mediante ning\u00fan procedimiento legal o de otro tipo, sin el consentimiento previo por escrito de WINTOWN. Sujeto a esta restricci\u00f3n, este Contrato ser\u00e1 vinculante, redundante en su beneficio y ejecutable contra las partes y sus respectivos sucesores y asignados.<\/p>

WINTOWN en este acto, podr\u00e1 ceder total o parcialmente las obligaciones aqu\u00ed referidas a cualquier empresa filial y\/o subsidiaria al mismo.<\/p>

17. Modificaci\u00f3n al Contrato<\/strong><\/p>

WINTOWN se reserva el derecho, a su entera discreci\u00f3n, de modificar cualquiera de las condiciones contenidas en estos T\u00e9rminos y Condiciones o sustituirlo en cualquier momento mediante alg\u00fan cambio o estableciendo un nuevo contrato en el Sitio\u00a0 Web. Estos cambios podr\u00edan incluir, por ejemplo, el porcentaje de comisi\u00f3n por referidos y las reglas del ‘Programa de Afiliados’. Si seg\u00fan el criterio del AFILIADO, alguna de las modificaciones resulta inaceptable, su \u00fanica opci\u00f3n es rescindir este Contrato y dejar de utilizar el Sitio Web. Si contin\u00faa utilizando nuestro ‘Programa de Afiliados’ tras publicarse un cambio en las condiciones del Contrato o a haberse establecido un nuevo contrato, ello significar\u00e1 que acepta de forma impl\u00edcita dichos cambios en las condiciones del Contrato o el nuevo contrato.<\/p>

18. Inderogabilidad<\/strong><\/p>

El hecho de que no podamos garantizar el estricto cumplimiento por parte del AFILIADO de alguna de las estipulaciones contenidas en este Contrato, no constituir\u00e1 una renuncia por parte nuestra, a nuestro derecho leg\u00edtimo de garantizar tal provisi\u00f3n o cualquier otra de las contenidas en este. No permitiremos, ni reconoceremos las modificaciones, adiciones o supresiones de las Condiciones contenidas en este Contrato. Ninguno de nuestros empleados o agentes tendr\u00e1 autoridad para realizar modificaciones o estar de acuerdo con la realizaci\u00f3n de alguna modificaci\u00f3n de los t\u00e9rminos establecidos en este Contrato.<\/p>

19. Recursos<\/strong><\/p>

Los derechos y recursos contenidos en este Contrato no ser\u00e1n exclusivos para ambas partes, es decir, el ejercicio de una o m\u00e1s de las estipulaciones de este no impedir\u00e1 el ejercicio de cualquier otra estipulaci\u00f3n. Usted reconocer\u00e1, confirmar\u00e1 y estar\u00e1 de acuerdo con que en caso de ruptura o amenaza de ruptura de este Contrato podr\u00eda resultar en perjuicios inadecuados y por ello, WINTOWN podr\u00e1 perseguir el cumplimiento del mismo mediante una actuaci\u00f3n espec\u00edfica, mandato judicial o cualquier otro recurso equitativo. Ninguno de los t\u00e9rminos establecidos en este Contrato limitar\u00e1 o afectar\u00e1 los derechos legales de WINTOWN, derechos que en todo momento se ejecutar\u00e1n de acuerdo a lo establecido por la ley.<\/p>

20. Divisibilidad\/Renuncia<\/strong><\/p>

Siempre que sea factible, cada una de las condiciones contenidas en este Contrato se interpretar\u00e1n de manera efectiva y v\u00e1lida bajo la ley aplicable, sin embargo, si alguna de las condiciones de este Contrato se considera inv\u00e1lida, ilegal o inaplicable, dicha condici\u00f3n se considerar\u00e1 sin efecto, solo en lo referido a dicho aspecto de invalidez, ilegalidad o inaplicabilidad sin que el resto del contenido de dicha condici\u00f3n se vea afectada por ello. La inaplicabilidad de cualquiera de los derechos, no implicar\u00e1 ninguna renuncia a los mismos, y para que sea efectiva, deber\u00e1 presentarse por escrito.<\/p>

21. Idioma. <\/strong><\/p>

El presente Contrato se celebra por las Partes en idiomas espa\u00f1ol e ingl\u00e9s; sin embargo, en caso de controversia que se derive del presente Contrato, de su interpretaci\u00f3n o diferencias entre ambas versiones, la versi\u00f3n en idioma espa\u00f1ol deber\u00e1 prevalecer en todo momento y obligar a las Partes.<\/p><\/td>

Adherence to WINTOWN Products Affiliate Program Terms and Conditions.<\/strong><\/p>

This agreement (the “Agreement<\/strong>“) establishes the Adhesion to the general terms and conditions (the “Terms and Conditions<\/strong>“) to which the individual(s) or legal entity(ies) (the “Affiliate” or “You”) that register at the website\u00a0https:\/\/www.wintown.com.mx\/<\/a>\u00a0(the “Website<\/strong>“), and New Ads S.A. de C.V. (hereinafter referred to as “WINTOWN<\/strong>“, “We<\/strong>“, “Us<\/strong>” or “Our<\/strong>“) are subject to, for the promotion and use of the entertainment and gambling products of WINTOWN\u2019s exclusive use, the above in accordance with the provisions of Article 1803 of the Federal Civil Code of the United Mexican States.<\/p>

1. Introduction to Our Products.<\/strong><\/p>

WINTOWN is a legal entity specialized in gambling and betting online entertainment permitted by Mexican law. To carry out such activity, it has a services platform that includes a webpage\u00a0www.strendus.com.mx<\/a>\u00a0(the “Products Website”) and mobile apps where it offers, including, but not limitatively, Casino, Poker, Sportsbook, E-sports, Social Gaming, Fantasy, among others (the “Products<\/strong>“).<\/p>

For the purpose of this Agreement and on the terms and conditions hereinafter set forth, WINTOWN grants Affiliate the necessary authorities for the promotion of the Products and, as a consequence, the attraction and registration of new customers (the “Referrals<\/strong>” or “Customers<\/strong>” interchangeably) for the Products Website. In order to register and use the Web Site, you will need compatible hardware, software (the latest version is recommended and sometimes required), and Internet access (subject to any fees that may be charged by the applicable provider). The performance of our services may be affected by these factors.<\/p>

2. Your Application for Affiliation.<\/strong><\/p>

If you wish to become a member of the ‘Affiliate Program’, you may do so online or contacting our affiliate leaders where you agree and adhere to the Terms and Conditions of this Agreement.<\/p>

To register online, you must access\u00a0www.wintown.com.mx<\/a>\u00a0and click on the “Register” button, where you must fill in each and every one of the fields marked as mandatory with the required information, and attach the documentation requested on the Web Site. Once this is done, you will be automatically assigned a username and password.<\/p>

\u00a0<\/p>

If you decide to register through an affiliation leader, you should call +52 (81) 1798-1161 or send an e-mail to contacto@wintown.com.mx. Our affiliation leader will send you the application form and the list of documents to be attached to it.<\/p>

In both cases, the application will be part of this Agreement. \u00a0We reserve the right to accept or reject your application, being our decision final and absolute. We will notify you whether your application has been accepted or rejected via e-mail message and\/or through one of our affiliate leaders, within 72 (seventy-two) hours after sending the complete application and the required documentation.<\/strong><\/p>

3. Registration of <\/strong>Customers<\/strong> and\/or Referrals.<\/strong><\/p>

Once their application has been accepted and they are recognized as a WINTOWN Affiliate, the Affiliate may promote the Products Website with its customers, and direct them through some of its Internet links (“URL”) that Affiliate generates for such purposes in accordance with the provisions of clause\u00a04.1\u00a0<\/strong>of this Agreement.<\/p>

For the purposes of this Agreement, a customer and\/or referral shall be understood to be interchangeably those natural persons of legal age who register on the Products Website and who have been referred by the Affiliate without having been previously registered to the Products Website (hereinafter the “Customer<\/strong>” or the “Referral<\/strong>” interchangeably). All Referrals must comply with the terms and conditions set forth at the Products Website and provide the information requested for their registration and use of the Products. We reserve the right to reject a Customer (or close an account) if necessary, in accordance with the terms and conditions for users of the Products Website.<\/p>

3.1 Customer activity monitoring<\/strong><\/p>

We will constantly monitor the activities of the Customers in order to provide the AFFILIATE a report summarizing their activities within the Products, in which they will be able to access the activity report, which will be available for daily view.\u00a0<\/p>

4. Rights and obligations of the AFFILIATE<\/strong><\/p>

4.1<\/strong>.\u00a0Links to our web pages<\/strong><\/p>

By registering and being recognized by WINTOWN as an AFFILIATE, You agree to create and\/or enable at your own cost and responsibility, URLs linking your website to the Website, the Product Website and\/or any other that WINTOWN may add to provide new products. You may be linked to us through any of our banners (designs), e-mails, articles or with a text link in compliance at all times with the provisions for the use of approved designs and trademarks use license set forth in clauses 4.7. and 4.8. of this Agreement. This will be the only method by which You may promote Us.<\/p>

\u00a0<\/p>

4.1.1. Responsibility for your website<\/strong><\/p>

You are solely responsible for the development, management, and maintenance of your website and all material appearing on your website. For example, you shall be solely responsible for ensuring that all material appearing on your website does not constitute defamation or illegality. In addition, you shall be liable for any claims, damages or expenses (including legal costs) arising directly or indirectly from the development, management, maintenance and content of your website.<\/p>

\u00a0<\/p>

The ‘Affiliate Program’ of WINTOWN is for your direct participation. You may not open affiliate accounts on behalf of other participants. You may not open affiliate accounts for third parties, nor merge affiliate accounts without prior authorization from WINTOWN. If an AFFILIATE wishes to transfer its account to another AFFILIATE, they must request prior authorization from WINTOWN through the various means of communication. Approval is at our sole discretion.<\/strong><\/p>

4.2. Insertion Order<\/strong><\/p>

Any insertion order shall be subject to these Terms and Conditions, and where appropriate, WINTOWN may establish specific commercial parameters to which the AFFILIATE shall be entitled by participating in the Wintown Affiliate Program and which shall be signed by the Parties.<\/p>

WINTOWN reserves the right to approve or deny the use of an Insertion Order.<\/p>

4.3. Promotion.<\/strong><\/p>

The AFFILIATE undertakes to continuously promote the Products Website through the URLs that for such purposes the AFFILIATE has created and enabled within its online media available or created specifically for such purposes. They shall continuously and prominently incorporate and display the most current links provided, on all pages of their WEB site, in the manner and location previously authorized by us, without altering the form, location or operation of the links without our prior written consent. You may request the collection of commissions for Customers, referred to in this contract, provided that there is a continuous promotion on your part on the various Products. We reserve the right to reduce the per Customer commission rates if you reduce your efforts to refer new customers. The decrease or suspension of the promotion of our Web pages will be considered as early termination of the Agreement.<\/p>

\u00a0<\/p>

Through these Terms and Conditions, we give you a non-exclusive, non-transferable right to direct Customers to our Product Site and any other sites that WINTOWN may enable in accordance with the terms of this Agreement. This Agreement does not grant you any exclusive right or privilege to assist us with the provision of services that may be derived from Customers referred from your Web site. For obvious reasons, it is our intention at all times to endorse contracts and obtain assistance from other sources to perform services or activities of the same or similar nature as those derived from your affiliation. You shall have no right to claim any referral fees or any other compensation of any kind that are not derived from the management of your affiliation.<\/p>

By registering to this ‘Affiliate Program’, you agree to create and maintain unique links that connect your website to WINTOWN’s Web pages, products or platforms, within the\u00a0www.wintown.com.mx<\/a>\u00a0site, or that are managed by such company. You may be linked to us through any of our banners (designs), e-mails, articles, or with a text link. This shall be the only method by which you can promote us.<\/p>

\u00a0<\/p>

4.4. Minimum referred <\/strong>Customers<\/strong><\/p>

The AFFILIATE is obliged to refer at least 10 (ten) customers within 3 (three) months after the beginning of its affiliation contract. If the AFFILIATE does not comply with this requirement, at the end of this term, WINTOWN will close the AFFILIATE’s account, without restriction on the AFFILIATE’s ability to rejoin the Affiliate Program through a new account.<\/p>

\u00a0<\/p>

For the AFFILIATE to keep their account once the 3 (three) month term referred in the previous paragraph has elapsed, no more than 2 continuous months must elapse without the AFFILIATE having incorporated new Referrals and the Customers already incorporated remaining active, otherwise, WINTOWN, without prior notice, may terminate this Agreement. For such purposes, a Referral will cease to be active when they do not make at least one deposit and\/or bet within a period of 6 continuous and uninterrupted months, and consequently, may no longer be considered at any subsequent time for the calculation of the collection of the AFFILIATE’s commission.\u00a0<\/p>

4.5. Unsolicited Email and\/or Spam<\/strong><\/p>

WINTOWN reserves the right to immediately and unilaterally terminate this Agreement, and if applicable, close the account and withhold payment of commission, when the AFFILIATE promotes the Products Website through spamming practices or spam, or if it chooses to advertise the Products in any manner other than as provided herein (hereinafter “SPAM<\/strong>“). “SPAM” practices include, but are not limited to: incentivized traffic, misleading or unauthorized traffic or advertising by WINTOWN, or any type of act deemed to be in bad faith or malice to activate the Product Website\u2019s commission system.<\/p>

\u00a0<\/p>

AFFILIATE shall not at any time make any claim, bind WINTOWN against any third party, or provide any warranty in connection with us. Nor shall the AFFILIATE have the authority to bind us to any obligation under this Agreement.<\/p>

\u00a0<\/p>

4.6. Intellectual Property<\/strong><\/p>

AFFILIATE may not purchase or register keywords, terms or other identifiers for use in any Internet search engine, portal, advertising service or any other customer search or referral service identical or similar to any trademarks registered by us or any of our affiliates, including any variations thereof or that include keywords that are identical or similar to any trademarks of WINTOWN or the Product Website, its licensee, operator, affiliates, subsidiaries, controlled, and\/or controlling entities.<\/p>

\u00a0<\/p>

AFFILIATE hereby acknowledges that the information, data, text, software, sound, photographs, graphics, videos, messages, and materials contained within WINTOWN\u2019s sites, as well as the designs therein, published or transmitted privately, are property of WINTOWN or the Product Website, unless otherwise specified. In the event that the Affiliate requires to print and\/or copy the content available at our Website, they agree that it will be solely and exclusively for the promotional purposes covered by this Agreement and that any use other than as provided herein is prohibited.<\/p>

\u00a0<\/p>

In the event that the Affiliate generates content within its media, it shall be responsible for it, regardless of the manner in which it has been reproduced or the means by which it has been sent, and shall be liable for any damages caused by the distributed material, obliging themselves to hold WINTOWN or the Product Website, its licensee, operator, affiliates, subsidiaries, controlled and\/or controlling companies harmless from any legal dispute.<\/p>

Affiliate acknowledges that the Web Site and the Products Website, as well as any software necessary for connection with the Products may contain confidential information that may be protected by intellectual property or other applicable laws, and therefore agrees that content that is part of Affiliate\u2019s advertising may be protected and\/or limited for use by copyright, reproduction, trademark, patent or other proprietary rights and laws.<\/p>

In view of the foregoing, Affiliate agrees not to modify, copy, reproduce, lease, lend, sell, distribute, or create works from any material contained in the Website, the Product Website or any other that WINTOWN may establish, and to refrain from creating works based on them, whether in whole or in part.<\/p>

The total or partial reproduction of each and every one of the names that are used through WINTOWN’s sites, as well as their designs, organization, compilation, compiling, information, magnetic or electronic transfers, digital conversion, logos, photographs, images, programs, source code,\u00a0 applications and any information generated, contained, spread or published on our websites, social media or mobile devices apps is prohibited, as they have been protected and registered in the name of WINTOWN or the Products Website, its licensee, operator, affiliates, subsidiaries, controlled or controlling companies.<\/p>

\u00a0<\/p>

4.7. Domain name registration<\/strong><\/p>

Accordingly, AFFILIATE may not register (or apply to register) any domain name similar to any domain name used by or registered on behalf of any member of WINTOWN and its affiliates, or any other name that may be associated with WINTOWN-related products or platforms.<\/p>

4.8. Approved designs<\/strong><\/p>

You may only use the creative designs that we have previously approved and provided to you through the affiliate leaders (banners, html, mailers, editorial columns, images and logos) and you may not change their appearance in any way, nor promote us with any other material other than the one previously approved. The appearance and syntax of the links shall be designed and designated by us and shall constitute the only permitted and authorized representation for the promotion of our Web pages. In particular, you must not create any direct link to promotional materials on any of WINTOWN’s Web sites.<\/p>

\u00a0<\/p>

Prior to the publication of advertising material within your website, you must submit the final version of it to WINTOWN in order for it to be approved for publication, otherwise we will not be liable for any complaints, lawsuits or claims imposed by third parties with respect to such advertising.<\/p>

\u00a04.9. License to use trademarks<\/strong><\/p>

During the term of this Agreement, we grant you a non-exclusive, non-transferable license to use the trademarks of the various Products solely for the purpose of displaying promotional materials on your website, provided that such publication is approved by us. You may not grant this license to third parties assigned or transferred by You. Your right to use the Trademarks is limited and reduced only to this license. You shall not at any time assert the invalidity, unenforceability or doubt as to the ownership of the trademarks in any legal action or dispute of any nature, and shall not take any action that may affect our rights over the trademarks, weaken their validity or diminish the goodwill associated with them. In the event that third parties may misuse the trademarks, the AFFILIATE shall immediately notify us of such situation.<\/p>

\u00a0<\/p>

4.10. Good Faith<\/strong><\/p>

You may not knowingly benefit from any customer traffic that was not generated in good faith with or without the intent to cause us any harm. We reserve the right to withhold any monetary amount that may be due to You under the terms of this Agreement if we have reasonable grounds to believe that such Customer traffic was generated with your knowledge.<\/p>

\u00a0<\/p>

We reserve the right to freeze commission payments to AFFILIATE and\/or suspend or close accounts where AFFILIATE abuses any of the offers or promotions of WINTOWN and its associated brands, either with or without their knowledge. This includes, but is not limited, to situations where different customers place bets on opposite outcomes of the same event or section thereof, in order to minimize risk and claim bonuses.<\/p>

\u00a0<\/p>

5. Calculation and Payment of commissions<\/strong><\/p>

5.1 Affiliate Commission.<\/strong><\/p>

The AFFILIATE in compliance with the obligations of this Agreement, may be entitled to a variable commission ranging from 25% (twenty-five percent) to 45% (forty-five percent), which shall be calculated in accordance with the commission calculation method set forth in clause 5.2 of this Agreement and based on the Net Profit generated by the Customers. For the purposes of this Contract, Net Profit will be defined as follows:<\/p>

– For Sportsbook activity, the Net Profit will be the gross amount received by us from all bets already determined, placed by Customers after deducting (i) the economic amount paid to Customers for bet wins, (ii) the amount paid as taxes (or any reasonable provision for taxes), (iii) debts incurred, (iv) fraud, (v) amounts betted that are refund, (vi) declined transactions on the instructions of the cardholder’s card issuer, (vii) cancelled bets and (viii) bets\/revenue bonuses, (ix) license expenses, (v) credits granted to users, and (vi) bonuses.<\/p>

– For Casino activity, the Net Profit will be the value of the opening balance with the sum of the funds transferred after deducting (i) funds transferred out of the account, (ii) final balance, (iii) credits\/bonuses granted to Customers, (iv) the amount paid in taxes (or any reasonable provision for taxes), (v) license expenses, (vi) transactions rejected by the cardholder’s card issuer, (vii) debts incurred, and (viii) fraud.<\/p>

– For Poker activity, the Net Profit will be the value of the player after deducting (i) the amount paid in taxes (or any reasonable provision for taxes), (ii) license expenses, (iii) bonuses on poker chips, (iv) transactions rejected by the cardholder’s card issuer, (v) debts and (vi) fraud.<\/p>

– For E-sports activity, the Net Profit will be the gross amount betted after deducting (i) cancelled bets, (ii) winnings, (iii) the amount paid in taxes (or any reasonable provision for taxes), (iv) license expenses, (v) credits granted to users, (vi) bonuses, (vii) transactions rejected by the cardholder’s card issuer, (viii) debts and (ix) fraud.<\/p>

– For Social Gaming activity, the Net Profit will be the gross amount betted after deducting (i) cancelled bets, (ii) winnings, (iii) the amount paid in taxes (or any reasonable provision for taxes), (iv) license expenses, (v) credits granted to users, (vi) bonuses, (vii) transactions rejected by the cardholder’s card issuer, (viii) debts and (ix) fraud.<\/p>

– For Fantasy activity, the Net Profit will be the gross amount betted after deducting (i) cancelled bets, (ii) winnings, (iii) the amount paid in taxes (or any reasonable provision for taxes), (iv) license expenses, (v) credits granted to Customers, (vi) bonuses, (vii) transactions rejected by the cardholder’s card issuer, (viii) debts and (ix) fraud.<\/p>

\u00a0<\/p>

We reserve the right to change the commission percentage and calculating method of it as we deem appropriate, in accordance with the provisions of clause 5.2.<\/p>

5.2 Method of calculating commissions<\/strong><\/p>

You may request the collection of commissions on the balance of your earnings in Sportsbook, Casino, Poker, Fantasy, Social Gaming, E-sports. If such balance is negative (either in Sportsbook, Casino, Poker, Fantasy, Social Gaming, E-sports), the corresponding deduction will be made from the available commissions.<\/p>

The payment to which the AFFILIATE is entitled shall be determined in relation to the number and\/or the performance of the AFFILIATE’s Customers within the Product Website, and shall be in accordance with the following scheme:<\/p>

5.3 Cost Per Action (CPA) Commissions<\/strong><\/p>

The cost per action (hereinafter “CPA<\/strong>“) is a method of payment of where the AFFILIATE’s Customers make their first deposit of a minimum fixed amount (hereinafter “Baseline<\/strong>“), which must be reviewed and approved by WINTOWN. The “CPA” may only be granted to new AFFILIATES, for which WINTOWN will set at least the following parameters:<\/p>

i) The amount of the first deposit to be made by Customers after registration on the Website.<\/p>

ii) The amount and maximum number of “CPA” to be received per AFFILIATE that meets the commission payment requirements set forth in clause 5.<\/p>

\u00a0<\/p>

WINTOWN reserves the right to modify at any time the “CPA” parameters based on the results of the AFFILIATE\u2019s activity and performance, and WINTOWN may even restrict the payment of “CPA” as long as the Customers’ activity is not part of an Incentivized Traffic pursuant to Clause 5.5.<\/p>

5.4 Chargebacks<\/strong><\/p>

The AFFILIATE understands and acknowledges that the deposits made with debit and\/or credit cards by the Customers in our Website may become Chargebacks (claims for transactions not recognized by the Customers before their Bank and\/or financial institution). In the event that a Customer files a claim before its Bank and\/or financial institution, the resolution of which is in favor of the Customer, the AFFILIATE shall be responsible for the losses derived from these Chargebacks. The AFFILIATE accepts that the amount resulting from these Chargebacks will be deducted from the payment of the commissions to which it is entitled in the next corresponding periods and until its debt with WINTOWN is settled.<\/p>

5.5. Incentivized traffic<\/strong><\/p>

Incentivized traffic is strictly prohibited by WINTOWN on the Website and no commission will be paid to AFFILIATES for Customers who make deposits and\/or place bets on traffic considered as incentivized. Incentivized traffic means any activity of the AFFILIATE whose purpose is to offer a reward or incentive to Customers in exchange for making a deposit and\/or minimum wager on the Website.<\/p>

The AFFILIATE understands and acknowledges that WINTOWN has the full right to close the account and\/or withhold the payment of commissions to the AFFILIATE for deposits and\/or wagers of Customers that may be considered incentivized according to the risk system analysis and\/or areas related to WINTOWN’s quality and security control.<\/p>

5.5 Customer commissions payment requests<\/strong><\/p>

Prior to requesting the collection of the corresponding per Customer commission, the AFFILIATE\u2019s, WINTOWN account must have a minimum of 10 (ten) Customers. The collection and payment of commissions is subject to compliance with the provisions of clause\u00a04.4\u00a0<\/strong>and with the minimum payment specified below.<\/p>

AFFILIATE agrees to the self-billing procedure with WINTOWN with respect to the payment of commissions for referring Customers. Under the self-billing procedure, if Affiliate wishes to request payment of any commission, they must do so through their account in WINTOWN’s affiliate system. Once this is done, WINTOWN will issue an invoice with the information relating to their referral commission, which the Affiliate agrees to receive. Payment of any invoice is made according and subject to the terms and conditions set forth below. Affiliate agrees that they may not request any additional invoice a Tax ID Number (“R. F. C.”, Spanish acronym for Federal Taxpayers Registry) with respect to their services as an AFFILIATE and must notify us in the event they change their \u00a0R.F.C. or, in case of being a legal entity, change their corporate name. This self-billing procedure will remain in effect during the term of this Agreement.<\/p>

The minimum amount of the commission payment request for referred Customers per month will be in Mexican pesos for the following amount:<\/p>

Affiliate should be aware that, although WINTOWN will not charge any fees for wire transfers, their bank may charge a fee for such transactions, which must be covered by Affiliate.<\/p>

\u00a0<\/p>

5.7. Discrepancies<\/strong><\/p>

Any discrepancy that may arise through the process of reconciliation of the calculation and payment of commissions of the AFFILIATE, the balance due from WINTOWN\u2019s affiliate system and\/or backend (Customer transactionality) will prevail.<\/p>

6. Duration and termination of the Contract<\/strong><\/p>

6.1. Term and termination.<\/strong><\/p>

This Agreement will become effective upon approval of your application for affiliation and will continue in effect until either party notifies the other in writing of its intention to early terminate this agreement, which will be with immediate effects and with no liability for WINTOWN. Early termination, with or without valid reason, shall be at the will of each one of the parties. For more clarity, writs via e-mail addressed to the parties for such purposes shall be deemed to be an express and immediate form for the termination of this Agreement to be effective.<\/p>

\u00a0<\/p>

6.2 Inappropriate Web pages<\/strong><\/p>

We will cancel this Agreement if we determine (at our sole discretion) that your website is inappropriate. Inappropriate websites include, but are not limited to, websites that are directed to children and\/or minors, contain any form of pornography or other sexual acts of an illegal nature, promote violence, promote racial, sexual or religious discrimination, promote xenophobia, discriminate against physical disability, sexual orientation or age, and promote illegal activities or violate intellectual property rights or any advertising regulations or code of practice, in addition to the promotion of Products of this type of pages, that is, directed at children and\/or minors.<\/p>

\u00a0<\/p>

6.3 Duplicate accounts and self-referrals<\/strong><\/p>

You may not open more than one affiliate account without WINTOWN’s prior written authorization, nor may you earn commissions for self-referred customers (that is to say, referring yourself or persons related to You) to WINTOWN’s Product websites.<\/p>

6.2. Termination Obligations.<\/strong><\/p>

Upon termination of the contractual relationship, the AFFILIATE must remove all our banners or icons from its Web site and disable all links from its website that transfer to all WINTOWN Product websites. All rights and licenses previously granted in this Agreement shall cease to be in effect immediately. You shall immediately return any confidential information in your possession and any copy of such confidential information in your possession, custody, and will immediately cease all use of the trademarks.<\/p>

7. Relationship of the parties<\/strong><\/p>

You agree that by virtue of the adhesion into this Agreement there shall be no relationship between the AFFILIATE, their website and any of the trademarks or products advertised within the Website.<\/p>

WINTOWN and You are independent from each other and nothing in this Agreement will create any joint venture, partnership, joint business, agency, franchise, sales representation, or employment relationship between both parties. You shall have no authority to make or accept any offers or representation on behalf of WINTOWN. The affiliate may not make any statement, either on their website or elsewhere, that contradicts any of the terms of this Agreement. In the event of doing so, the AFFILIATE agrees to hold WINTOWN harmless from any claim that may arise, being liable for the payment of any damages including the payment of attorneys’ and\/or experts’ fees or any other specialized professional fees that may be required.<\/p>

8. Confidential Information<\/strong><\/p>

During the term of this Agreement, there will be times when you will be entrusted with confidential information about our business, management or underlying technology and\/or the ‘Affiliate Program’ (including, for example, commissions earned through the ‘Affiliate Program’). You will not disclose information or authorize the use of any confidential information to any third party or parties outside of this Agreement without our prior written consent and authorization. Accordingly, AFFILIATE agrees to use such confidential information only for reasons necessary for the purposes of this Agreement. AFFILIATE’s obligations with respect to the confidentiality of such information shall survive the termination of this Agreement.<\/p>

\u00a0<\/p>

You agree that the nature of our business relationship is strictly confidential; consequently, you may not disclose the nature of the transaction or the terms of this Agreement to any third party, unless the information is disclosed: (i) to your accountants, attorneys and auditors to whom you disclosed the confidential nature of the information and who have agreed to treat the information as confidential; and, (ii) pursuant to the requirements of governmental agencies or as otherwise established by legal provisions.<\/p>

You oblige: (i) to keep secret and strictly confidential all written information or electronic document of economic, market, administrative, operational, financial,\u00a0 business and legal technique nature, as well as other written materials and electronic data of a secret and confidential nature regarding information, data, documents, processes, diagrams, technology, manufacturing processes, processes and logistics know-how, developed by WINTOWN; (ii) to keep secret and strictly confidential all information and data, including any memorandum, report, manual, evaluation, e-mail, written and\/or electronic document prepared by WINTOWN; (iii) not to disclose, in writing or orally, by any means, material, writings and electronic data of secret and confidential nature concerning information, data, documents, processes, diagrams, technology, manufacturing processes, processes and logistics know-how, provided and\/or developed by WINTOWN; and (iv) not to disclose, in writing or orally, by any means, information, material, writings and\/or electronic data of secret and confidential nature relating to officers, employees, directors and\/or shareholders of WINTOWN.<\/p>

\u00a0<\/p>

You will be directly and jointly and severally liable for any damages caused to WINTOWN for your misuse of confidential information, and for any act done in opposition to the restrictions set forth in the preceding paragraphs.<\/strong><\/p>

9. Personal Data<\/strong><\/p>

New Ads, S.A. de C.V. with domicile at 15 de Mayo No. 1027, Centro, Zip Code 64000, Monterrey, Nuevo Le\u00f3n, will use the data provided by you, in order to assign you a user account and password to access as an AFFILIATE and thus visualize the reports and information regarding the operation subject of this document, as well as to send communication messages between us and You.<\/p>

The use, safekeeping and general treatment of the personal data of both the AFFILIATE and the Customer will be subject to the provisions of Mexican law and in accordance with the terms set forth in our privacy notice. For more information about the treatment and the rights that can be asserted, you can access our Privacy Notice at http:\/\/www.aevsa.com\/aviso-de-privacidad.html<\/p>

In cases where the AFFILIATE as the party responsible for the personal data or data subject to special treatment of its Referrals, in accordance with Mexican law, transfers personal data to WINTOWN, they shall communicate the privacy notice to the Referrals and the purposes for which it transfers such data and information.<\/p>

The database generated as a result of the registration of the AFFILIATE’s Customers through WINTOWN, will be the sole and exclusive property of the owners of the Products in which the Customer registers, so You may not request and\/or use the information collected at the Products Website, which will be subject to the safeguard and protection in accordance with the provisions of this clause and the privacy notice.<\/p>

WINTOWN declares that the information provided by the AFFILIATE of its Referrals shall be used solely and exclusively for the purposes of this Agreement and shall refrain from using such information for other purposes.<\/p>

\u00a0<\/strong><\/p>

10. Human Rights<\/strong><\/p>

WINTOWN supports the Global Compact Principles and the United Nations Declarations on human rights, employment standards, environment and anti-corruption. It also declares its commitment to respect human rights both in its workplace and in its sphere of influence through compliance with principles such as the prohibition of forced or compulsory labor, abolition of child labor, discrimination in any form, and safe working environment. You, on your part, declare that you know, understand, and accept WINTOWN’s Human Rights clause and guarantee that in the development of your activity and specifically in the execution of this Agreement, you do not practice or promote any type of behavior that may lead to the violation of these rights and\/or principles.<\/p>

\u00a0<\/strong><\/p>

11. Indemnity<\/strong><\/p>

You will defend, indemnify, and hold WINTOWN, its officers, its employees, or any of its representatives harmless from and against any issues, losses, damages or costs (including legal costs) resulting from: (a) any breach by Affiliate of any warranty, representation or term contained in this Agreement, (b) Affiliate’s performance of the functions and obligations under this Agreement, (c) Affiliate’s negligence, or (d) any damage caused directly or indirectly by Affiliate’s intentional act or omission, or the unauthorized use of ‘Affiliate Program’ banners and links.<\/p>

\u00a0<\/strong><\/p>

12. Resignations<\/strong><\/p>

WINTOWN does not express or imply any warranties or representations with respect to the ‘Affiliate Program’, about ourselves or about the arrangements for the collection of commissions from referred customers (including, without limitation, functionality, fitness warranties, merchantability, legality or non-infringement), and does not express or imply any warranties arising in the course of performance, commercial treatment, or commercial use. In addition, we make no representation that the operation of our Web pages is interrupted or error-free, and we will not be liable for any consequences if any. In the event of any discrepancy between the reports provided at the www.wintown.com.mx system and WINTOWN’s databases, the database reports will be deemed to be correct.<\/p>

13. Limitation of liability<\/strong><\/p>

We will not be liable for any indirect, special or consequential damages (or any loss of revenue, profits or data) arising out of the performance of this Agreement or the ‘Affiliate Program’, even if we were notified in advance of the possibility of such damages. In addition, the total liability that WINTOWN may have with regards to this Agreement and the ‘Affiliate Program’ shall not exceed the total amount payable to You as commissions for referred customers under the terms of this Agreement. Nothing in this Agreement shall be construed as providing any right, remedy or benefit to any person, entity or party to this Agreement. Our obligations under this Agreement shall not imply any personal obligations of our officers, employees or shareholders. Any liability arising out of this Agreement shall be limited only to direct damages on commissions earned by referred customers.<\/p>

\u00a0<\/p>

14. Independent research<\/strong><\/p>

You acknowledge that you have read and agree to the terms contained in this Agreement. You understand that at any time, we may (directly or indirectly) request customer referrals on terms that may differ from those contained in this Agreement, or manage or contract with Web sites that are similar to or compete with yours. You will also independently evaluate your willingness to participate in this ‘Affiliate Program’ and will not rely on any representations, warranties or statements not contained in this Agreement.<\/p>

15. Applicable Law and Jurisdiction<\/strong><\/p>

For all matters relating to the construance, compliance, and execution of this Agreement, You and WINTOWN agree to submit to the applicable legislation and to the competent Courts of the city of Monterrey, State of Nuevo Le\u00f3n, expressly waiving any other jurisdiction that may correspond by reason of their current or future domiciles or that for any other legal or contractual cause may correspond.<\/p>

\u00a0<\/p>

16. Assignment to other parties<\/strong><\/p>

Affiliate may not assign this Agreement to other parties, by any legal or other process, without WINTOWN’s prior written consent. Subject to such restriction, this Agreement shall be binding upon, inure to the benefit of, and be enforceable against the parties and their respective successors and assignees.<\/p>

WINTOWN may hereby assign all or part of the obligations hereunder to any affiliate and\/or subsidiary of WINTOWN.<\/p>

17. Amendment to the Agreement<\/strong><\/p>

WINTOWN reserves the right, at its sole discretion, to amend any of the conditions contained in these Terms and Conditions or to replace it at any time by making any changes or establishing a new agreement on the Website. Such changes may include, for example, the referral commission percentage and the rules of the ‘Affiliate Program’. If according to AFFILIATE’S criteria, any of the amendments are unacceptable, their only option may be to terminate this Agreement in the terms herein established and, as consequence, the AFFILIATE must immediately stop using the Web Site. Continued use of our ‘Affiliate Program’ after a change in the terms of the Agreement has been posted or a new Agreement has been established will mean that you implicitly accept such changes to the terms of the Agreement or the new agreement.<\/p>

18. Non-repeal<\/strong><\/p>

The fact that we cannot guarantee AFFILIATE’s strict compliance with any of the terms contained in this Agreement shall not constitute a waiver by us of our legal right to enforce such provision or any other provision of this Agreement. We will not allow, nor will we acknowledge amendments, additions or deletions to the Conditions contained in this Agreement. None of our employees or agents shall have authority to make any amendment or agree to make any amendment of the terms set forth in this Agreement.<\/p>

19. Remedies<\/strong><\/p>

The rights and remedies contained in this Agreement shall not be exclusive for both parties, that is to say, the exercise of one or more of its provisions shall not prevent the exercise of any other provision. You acknowledge, confirm, and agree that a breach or threatened breach of this Agreement may result in improper damages and WINTOWN may pursue enforcement of this Agreement through specific action, court order, or other equitable remedy. Nothing in this Agreement shall limit or affect WINTOWN’s rights, same which shall at all times be enforced in accordance with the law.<\/p>

20. Divisibility\/Waiver<\/strong><\/p>

Whenever feasible, each of the terms contained in this Agreement shall be construed in an effective and valid manner under applicable law, however, if any condition of this Agreement is considered void, illegal or unenforceable, such condition shall be deemed to be ineffective only as to such void, illegal or unenforceable aspect and the remainder of the content of such condition shall not be affected thereby. The unenforceability of any of the rights shall not imply any waiver to them, and to be effective, it must be submitted in writing.<\/p>

21. Language<\/strong><\/p>

This Agreement is entered into by the Parties in the Spanish and English languages; however, in the event of a dispute arising out of this Agreement, its interpretation or differences between the two versions, the Spanish language version shall prevail at all times and bind the Parties.<\/p>
